1. Service Agreement
These Terms & Conditions govern your use of Higifacca's legal services, including Covenant Guard Solutions, Legal Blueprint Studio, and Compliance Navigator. By engaging our services, you agree to these terms.
2. Service Scope
Higifacca provides structured legal solutions for German enterprises. Our services are advisory in nature and do not constitute legal representation unless explicitly stated in a separate engagement letter.
3. Fees and Payment
Service fees are outlined in individual contracts or proposals. Payment is due within 30 days of invoice. Late payments accrue interest at 5% per annum. We reserve the right to suspend services for non-payment.
4. Intellectual Property
All deliverables created by Higifacca remain our property unless otherwise agreed in writing. You receive a non-exclusive license to use deliverables for your internal business purposes.
5. Confidentiality
Both parties agree to maintain confidentiality regarding proprietary information shared during service delivery. This obligation survives termination for 3 years, except where disclosure is required by law.
6. Data Protection (GDPR)
We process personal data in compliance with GDPR regulations. Our Privacy Policy details how your data is collected, processed, and protected. You retain all rights over your data.
7. Limitation of Liability
Higifacca's liability is limited to the total fees paid for the relevant service in the preceding 12 months. We are not liable for indirect, consequential, or lost profit damages.
8. Termination
Either party may terminate services with 30 days written notice. Upon termination, you remain responsible for all fees accrued through the termination date.
9. Disclaimers
Our services are provided "as is." We do not guarantee specific legal outcomes. Regulatory changes may affect recommendations. You should verify all advice with qualified legal counsel when needed.
10. Governing Law
These terms are governed by German law. Disputes shall be resolved in the courts of Bonn, Germany, or through arbitration as mutually agreed.
11. Amendment
Higifacca reserves the right to update these Terms & Conditions. Changes take effect upon publication. Continued use constitutes acceptance.
